Operating Agreements

This document has several variations, read the following descriptions to select the right document for you.

Member-Managed Limited Liability Company (Long-Form)
This is an operating agreement governing the operation of an LLC that is managed by some or all of the members or owners of the company. This is different from a manager managed LLC, which is managed by just one controlling person or entity. This version is meant to include a "Joinder Agreement - LLC" as an exhibit to the agreement.
Manager-Managed Limited Liability Operating Agreement (Long-Form)
This is an operating agreement governing the operation of an LLC that is managed by a manager (person or entity) rather than some or all of the members or owners of the company, which would be a "member-managed" LLC. This version is meant to include a "Joinder Agreement - LLC" as an exhibit to the agreement.
Joinder Agreement - LLC
This is a joinder agreement that is meant to be an exhibit to and part of one of the long-form operating agreements. A new member to an LLC will sign a joinder agreement to become party to the company's operating agreement.
Single Member Limited Liability Company
This is an operating agreement for an LLC with only one member (owner).
